Terms of Service
Last updated: October 13, 2026
1. Introduction
These Terms of Service (“Terms”) govern your access to and use of Ideatura, Inc.’s (“Ideatura,” “we,” “us,” or “our”) websites, including https://ideatura.ai and its subdomains, applications, software, APIs, integrations, cloud and AI services, documentation, and other related services (collectively, the “Service”).
BY CLICKING “ACCEPT” OR “AGREE,” CHECKING A BOX INDICATING ACCEPTANCE, OR TAKING ANOTHER ACTION CLEARLY IDENTIFIED AS ACCEPTANCE OF THESE TERMS, YOU AGREE TO BE BOUND BY THEM. IF YOU ACCEPT THESE TERMS ON BEHALF OF YOUR EMPLOYER OR ANOTHER ENTITY, YOU REPRESENT THAT YOU ARE AUTHORIZED TO ACCEPT THESE TERMS AND BIND THAT EMPLOYER OR ENTITY TO THEM. IN THAT CASE, “YOU” MEANS THAT EMPLOYER OR ENTITY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCEPT THEM OR USE THE SERVICE. IF YOU LACK THE REQUIRED AUTHORITY, DO NOT ACCEPT THESE TERMS OR USE THE SERVICE ON BEHALF OF YOUR EMPLOYER OR ANOTHER ENTITY.
These Terms apply to all our plans except our Enterprise plan, which is governed by separate terms.
Our Privacy Policy (including its Cookies and Analytics section) and Data Processing Agreement (“DPA”), where applicable, are incorporated into these Terms by reference.
For personal-data processing, mandatory international-transfer clauses take priority, followed by the applicable DPA and then these Terms. Section 12 of the DPA expressly addresses authorization for our separate controller activities. Content licenses and permissions for research, improvement or other uses remain subject to that section and do not otherwise expand processing authorized by the DPA or replace a legal basis required by data protection law. Mandatory privacy rights remain unaffected.
2. Eligibility and Accounts
2.1 Eligibility
You must be at least 18 years old to use the Service. The Service is offered solely for business and professional use. You may use it only in connection with your trade, business, craft, or profession, and not for personal, educational, or other non-professional purposes.
2.2 User Accounts
To use certain features of the Service, you may be required to create an account and provide your name, email address, password where applicable, and other account or billing information. You agree to provide true, accurate, current, and complete information and to keep it up to date. Failure to do so may prevent you from accessing or using the Service.
You are responsible for managing your account, workspace, access permissions, and billing settings, and for all activity under your account or workspace, including use of the Service by users you authorize. You must keep your passwords and other account credentials confidential, use commercially reasonable efforts to prevent unauthorized access, and promptly notify us at team@ideatura.ai if you become aware of or suspect any unauthorized access or use.
Each seat is for one authorized user. You may not share your account or credentials with another person or sell, trade, gift, or otherwise transfer your account. If your plan includes multiple seats, you may invite other users to join your workspace within the purchased capacity, but each user must use their own account.
If you join a shared workspace, its administrators may manage your access, permissions, and workspace settings.
3. Access to the Service
3.1 License Grant
Subject to these Terms and your plan, Ideatura grants you and your authorized users a limited, non-exclusive, non-transferable, non-sublicensable, non-assignable, revocable license to access and use the Service and its documentation, and to run our software on devices you own or control, for as long as you are permitted to access the Service under these Terms. You may use the Service to provide professional services to your clients.
3.2 License Restrictions
You may not access or use the Service in any way that is not expressly permitted by these Terms. You may not sell, resell, assign, rent, lease, sublicense, distribute, or otherwise make the Service, our software, or access to them available to any third party.
If you violate these restrictions, we reserve the right to suspend or terminate your access to the Service or cancel your subscription in accordance with section 12.
3.3 Requirements and Availability
Unless expressly agreed in writing, we do not guarantee any specific uptime level or support response time.
You are responsible for obtaining and maintaining the internet access and equipment needed to use the Service, including any internet connection and telecommunications fees. You are responsible for ensuring that your devices are in working order and meet the applicable system requirements. We are not responsible for the operation of your devices or internet connection.
The Service, including our websites and software, may be unavailable from time to time, experience interruptions, or fail to function as intended. We do not guarantee that the Service will always be available, operate without errors, or be compatible or interoperable with all devices, files, systems, or third-party applications. Integrations may also be interrupted, become unavailable, or stop functioning as a result of changes to third-party applications, software, services, or networks.
3.4 Third-Party Licenses
Our software includes third-party components, including open-source components, that are provided under their own licenses. The applicable third-party licenses govern those components. Nothing in these Terms limits any rights granted to you under applicable open-source licenses. We provide information about these components, their applicable licenses, and attribution notices in our Third-Party Licenses document.
3.5 Service Updates
We may make updates and upgrades to any part of the Service. These may include changes to the software and AI models we provide, the tools and features available to you, how interfaces and workflows operate, supported integrations, usage limits, and accompanying documentation. We may also temporarily suspend, restrict, or discontinue individual features, integrations, models, tools, or other parts of the Service.
The license granted under these Terms also applies to updates and upgrades that replace or supplement our software, unless they are provided under a separate license.
You may need to install updates or upgrades to continue using our software or the Service, including cloud-connected features.
We may make beta, preview, or experimental features available as part of the Service. These features may be less reliable or stable and may be changed or discontinued.
3.6 Force Majeure
Neither party is liable for delay or failure to perform its obligations under these Terms to the extent caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government action, labor disputes, and failures of utilities, communications networks, or third-party infrastructure or model providers. This does not excuse payment obligations already incurred.
4. Customer Content
4.1 Definitions
“Service Input” means prompts, instructions, text, images, screenshots, files, project data, code, scripts, CAD and BIM data (including files in IFC, DWG, DXF, and other formats), models, geometry, parameters, annotations, feedback, and other information or materials that you submit, upload, provide, or otherwise make available for processing by or through the Service, or that the Service collects or receives from applications you connect to it. This includes data, screenshots, and application context obtained from connected applications, such as Revit, AutoCAD, Rhino, and Blender, through our plugins or other integrations, within the features and permissions you enable.
“Service Output” means scripts, code, parameters, instructions, files, models, execution results, edits, fixes, explanations, images, text, geometry, and other results generated, produced, or effected by or through the Service in response to Service Input. This includes changes made directly to your files or to models and other data in connected CAD, BIM, or other applications.
“Usage Data” means technical and operational information about access to and use of the Service, including feature and tool usage, activity events, application and integration versions, performance measurements, errors, execution status, and token, credit, and resource usage. Usage Data may include account, user, workspace, installation, and session identifiers and other information that associates activity with a user or account.
“Interaction Data” means records of how tasks are requested, attempted, and completed through the Service, including prompts, instructions, conversations and summaries, AI responses, tool calls and their arguments and results, commands, interaction and execution traces, generated code and scripts, errors, warnings, test results, retries, corrections, ratings, feedback, and output metadata. These records may include images, screenshots, pages or excerpts of PDF documents, project fragments, geometry, parameters, model elements, and changes obtained, generated, or made while carrying out tasks, including through connected applications and other tools. They may contain personal data and project-specific content from Service Input or Service Output.
“Feedback” means feedback, ideas, requests, suggestions, corrections, ratings, comments, or other recommendations about the Service itself, whether through the Service, community forums, email, conversations, in-person or online meetings, or any other channel. Task instructions, project-specific corrections, and other content supplied to obtain or refine Service Output are not Feedback merely because they express a preference or correction. Recording Feedback as part of Service Input or Interaction Data does not make the rest of those records Feedback.
“Research Data” means Usage Data, Interaction Data, and Feedback, collectively.
“Ideatura Models” means AI or machine-learning models whose weights we train or fine-tune ourselves, including a third-party base model that we fine-tune. The term excludes third-party models that we use as provided, or the prompts, instructions, tools, and configurations we build around them. Internal evaluation, benchmarking, and prompt optimization without training or fine-tuning model weights are addressed in section 4.8.
“AI Development” means training or fine-tuning Ideatura Models by updating their weights, including creating, preparing, or using datasets for those purposes. It does not include internal evaluation, benchmarking, or optimization of prompts, instructions, tools, or agent configurations that does not train or fine-tune model weights.
“External Dataset Licensing” means preparing de-identified datasets from Research Data and using, distributing, disclosing, licensing, selling, or sublicensing them to third parties for the purposes described under “External Dataset Licensing” below. It is distinct from AI Development.
“Data Use Control” means the workspace-level control that jointly enables or disables use of eligible Research Data for AI Development and External Dataset Licensing, subject to the rules below under “AI Development” and “External Dataset Licensing” allowing continued use of datasets prepared before the control was disabled, including continued licensing of datasets prepared for external licensing. It is available on every plan covered by these Terms and is managed by users for personal workspaces and administrators for shared workspaces.
4.2 Input Rights
You represent and warrant that you have all rights, licenses, permissions, consents, legal bases, and authority necessary to provide Service Input or otherwise make it available through the Service and to authorize its processing and use under these Terms, and that you have provided all required notices and obtained any required permissions from your clients and other rights holders.
You represent and warrant that: (a) your Service Input and your use of the Service comply with applicable laws and regulations, sanctions and export controls, and your professional, contractual, and confidentiality obligations, and do not infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, trade secret, or data protection rights; (b) your Service Input does not contain malware, malicious code, or hidden instructions or other content intended to compromise the Service or another system, and is not used for any purpose prohibited by these Terms; and (c) any personal data, regulated data, confidential client materials, trade secrets, export-controlled data, or other third-party proprietary materials you provide are permitted under these Terms and are provided with all required rights, permissions, consents, and legal authority.
As between you and Ideatura, you retain ownership of your Service Input. We do not acquire ownership of your Service Input through your use of the Service.
4.3 Output Rights
As between you and Ideatura, and to the extent permitted by applicable law, you own your Service Output.
This does not transfer ownership of the Service, our software, technology, systems, underlying models, pre-existing templates or other pre-existing materials, third-party materials, or open-source components, whether used to generate Service Output or included in it. Rights to use those items remain subject to these Terms and any applicable separate licenses.
Use of a shared workspace does not itself transfer ownership of Service Input or Service Output between its members or between a member and the customer that controls the workspace. Those rights remain subject to applicable law and their separate agreements.
4.4 Output Limitations
Service Output may be similar or identical to results generated for other users, even when their Service Input differs from yours. We do not guarantee that Service Output will be unique, eligible for copyright or other intellectual property protection, or free of third-party rights or license obligations.
Ideatura does not provide legal advice or intellectual property or rights-clearance services. We do not represent or warrant that Service Output is non-infringing or may lawfully be used for any particular purpose, including commercial use.
You are solely responsible for reviewing Service Output and determining whether you have the rights to use, reproduce, modify, distribute, publicly display, or otherwise exploit it. Before doing so, you must obtain any required permissions, licenses, or releases and ensure that your use complies with applicable law, third-party rights, open-source license obligations, confidentiality obligations, and contractual restrictions.
4.5 Content License
By submitting or otherwise making Service Input available through the Service, or receiving Service Output from the Service, you grant Ideatura a limited, non-exclusive, worldwide, royalty-free, transferable, sublicensable, and assignable license to host, store, reproduce, transmit, display, and otherwise process your Service Input and Service Output solely as necessary for the purposes described in this section 4.5, in accordance with these Terms and our Privacy Policy.
We may exercise these rights to provide, operate, maintain, support, develop, and improve the Service; perform your requests and facilitate processing by third-party model providers; retain your content, conversation history, and associated metadata as needed to operate the Service; diagnose and resolve technical issues; comply with legal obligations; enforce these Terms and our policies; and protect the safety, security, and integrity of the Service, including preventing fraud and abuse.
Any transfer, assignment, or sublicense of this license remains subject to the same purposes and limitations. This license does not transfer ownership of your Service Input or Service Output to Ideatura or grant us rights beyond those expressly stated in these Terms.
4.6 Feedback
If you provide Feedback, you agree that the Feedback is non-confidential and non-proprietary.
You grant Ideatura a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, assignable, and sublicensable license to use, reproduce, modify, adapt, distribute, disclose, and create derivative works from that Feedback, including by incorporating it into our products and services, for purposes other than AI Development or External Dataset Licensing. These uses do not depend on the Data Use Control. Use of Feedback for AI Development or External Dataset Licensing is governed by sections 4.10 and 4.11, respectively, including their opt-out rules and safeguards.
We may already be considering or developing, or may independently develop in the future, ideas, products, or services that are similar or even identical to your Feedback. We have no obligation to implement or respond to Feedback. You are not entitled to any compensation or reimbursement of any kind in connection with your Feedback or our use of it.
These Feedback provisions do not expand our rights to use project files, Service Input, Service Output, or other customer materials provided with Feedback. Those materials remain subject to their applicable terms and confidentiality protections and are not treated as non-confidential or non-proprietary merely because they accompany Feedback.
4.7 Data Collection
We may collect, retain, and analyze Usage Data and Interaction Data for the purposes permitted by these Terms.
4.8 Product Development
We may use Research Data for internal research, analytics, and product development, including assessing Feedback, understanding user needs, studying workflows, evaluating the Service’s quality, performance, and reliability, identifying and resolving errors, and planning, developing, testing, and improving products, features, and technology, subject to the limits below.
These purposes include internally evaluating and benchmarking Ideatura Models and third-party models, agents, prompts, instructions, tools, and configurations; creating and using evaluation datasets from Research Data; and manually or automatically optimizing prompts, instructions, tools, and agent configurations based on evaluation results, without training or fine-tuning model weights. This section does not authorize publishing customer examples or evaluation datasets; disclosure of aggregated findings remains governed by section 4.9. If data from an evaluation dataset is later prepared or used to train or fine-tune model weights, that preparation or use is AI Development and is governed by section 4.10.
When we process personal data on your behalf, troubleshooting and quality checks are limited to providing, maintaining, securing, and supporting your Service under the DPA. Using personal data for our own product research or development is a separate controller activity governed by the Privacy Policy and section 12 of the DPA. This section does not authorize repurposing personal data entrusted to us as a processor without meeting those requirements. Non-personal content remains subject to the licenses, confidentiality protections, and other restrictions in these Terms.
We may use general methods, code patterns, tool sequences, and techniques learned from operating the Service to improve it for all customers. We will apply reasonable measures designed to keep personal data, project files, and information identifying you, your clients, or your projects out of this generalized know-how. These uses do not include AI Development, which is governed by section 4.10.
4.9 Aggregated Data
We may use, publish, and share aggregated and de-identified statistics, research findings, and analytical information derived from Research Data to describe use of the Service, report trends and performance, communicate research results, and explain or promote our products and services. This may include aggregate counts of tasks or tool calls, data volumes, and feature usage.
Before such disclosure, we will apply reasonable technical and organizational measures designed to ensure that the information cannot reasonably be used, alone or with other reasonably available information, to identify a user, customer, individual, account, workspace, or project, or to reconstruct project files, complete models, or confidential project materials.
We will maintain and use information disclosed under this section in its de-identified form and will not attempt to re-identify it. Where we provide nonpublic information to third-party recipients under this section, we will require contractual safeguards prohibiting re-identification, reconstruction of project files, complete models, or confidential project materials, and onward disclosure except under equivalent safeguards. Public releases will be limited to aggregated statistics and findings that satisfy the same non-identification and non-reconstruction requirements.
4.10 AI Development
For this section, “AI Development” and “Ideatura Models” have the meanings given in section 4.1. We may use your data for AI Development only as Research Data, subject to your choice below.
Customer content under Enterprise or other individually negotiated custom plans is excluded from AI Development.
You can disable use of your data for both AI Development and External Dataset Licensing through the Data Use Control. This section governs AI Development; section 4.11 governs External Dataset Licensing. Once disabled, we will not use data from the relevant workspace for AI Development, except that we may retain and continue using datasets prepared for AI Development before the Data Use Control was disabled without removing that workspace’s data, subject to the safeguards in these Terms and applicable law. Re-enabling the Data Use Control does not permit use for AI Development of data collected while it was disabled. Disabling this use does not reverse training already completed or limit your rights under applicable law.
The Data Use Control does not affect data collection and use for operations, support, or security, use of Feedback under section 4.6 for purposes other than AI Development or External Dataset Licensing, or the uses described in sections 4.8 and 4.9, including internal evaluation, benchmarking, and prompt optimization without training or fine-tuning model weights. Those other purposes do not authorize AI Development or External Dataset Licensing contrary to the Data Use Control or the limits in sections 4.10 and 4.11. Feedback used for AI Development is subject to the same opt-out rules and safeguards as other Research Data under this section, regardless of the channel through which it is provided.
Unless the Data Use Control is disabled for the relevant workspace, you grant Ideatura a non-exclusive, worldwide, royalty-free license to prepare Research Data from data collected while the Data Use Control is enabled and to host, store, reproduce, analyze, modify, transform, create derivative works from, and use it for AI Development, in accordance with this section, applicable law, and our Privacy Policy. We may sublicense the rights necessary for service providers acting on our behalf to perform that work, subject to the same restrictions and choices. This license survives expiration or termination of these Terms and account closure for eligible data collected while these Terms were in effect and the Data Use Control was enabled for the relevant workspace, and Research Data derived from that data, subject to the opt-out rules above, the other restrictions and safeguards in these Terms, and applicable law.
Our use of personal data for AI Development is subject to your opt-out choices, the Privacy Policy, and section 12 of the DPA. Applicable rights to object, restrict processing, or request deletion take priority over any continuing license or dataset-retention provision.
Before using Research Data for AI Development, we will apply reasonable technical and organizational measures designed to identify and remove personal data, access credentials, client names, client company names, project names and site addresses. Preparation may include automated filtering, redaction, aggregation, transformation, annotation, and AI-assisted extraction or synthesis.
We may provide Research Data to service providers, including model providers, acting on our behalf to prepare and process it, subject to the restrictions and choices in this section. Those providers must be subject to confidentiality and data-protection obligations and may not independently use the data to develop or train their own products or models. These uses do not transfer ownership of your Service Input or Service Output, and personal data and confidential information remain subject to applicable privacy and confidentiality protections.
4.11 External Dataset Licensing
Subject to this section, you grant Ideatura a non-exclusive, worldwide, royalty-free license to prepare de-identified datasets from eligible Research Data and to use, reproduce, modify, distribute, disclose, license, sell, and sublicense those datasets to third parties for research, analytics, evaluation, benchmarking, and development, training, or improvement of their products and AI models. This permission is separate from AI Development under section 4.10 and does not require a sale of our business. It does not transfer ownership of your Service Input or Service Output.
Customer content under Enterprise or other individually negotiated custom plans, and Research Data derived from that content, is excluded. Eligibility is subject to the Data Use Control and applicable opt-out choices, including previously exercised opt-outs. These requirements also apply to Feedback and to transformed, aggregated, or synthetic derivatives.
The Data Use Control governs External Dataset Licensing as well as AI Development. Once disabled, we will not use data from the relevant workspace to prepare new datasets for external licensing. However, we may retain and continue to use, reproduce, distribute, disclose, license, sell, and sublicense datasets prepared for external licensing before the Data Use Control was disabled, without removing that workspace’s data, including through new agreements with existing or new recipients. Existing recipient licenses and permitted onward sublicensing may also continue. Re-enabling the Data Use Control does not make data collected while disabled eligible. All continuing uses and disclosures remain subject to the eligibility requirements, safeguards, and restrictions in this section and applicable law; applicable rights to object, restrict processing, or request deletion take priority over this exception.
Before disclosing datasets for External Dataset Licensing, we will apply reasonable technical and organizational measures designed to identify and remove personal data, access credentials, client names, client company names, project names and site addresses, and to anonymize or de-identify the datasets in accordance with applicable law. Where required by applicable law, we will maintain and use datasets in de-identified form, refrain from re-identification, and impose corresponding contractual requirements on recipients.
Processing personal data to prepare datasets remains subject to the Privacy Policy and section 12 of the DPA. This license survives termination or account closure, subject to this section, applicable opt-out choices, confidentiality obligations, and applicable law.
4.12 Shared Workspaces
Content you make available in a shared workspace, including files, Service Input, and Service Output, may be accessed by that workspace’s administrators and other members who have the applicable permissions. Depending on the features and permissions available in the Service, those users may view, use, edit, copy, or download the content. Access to and use of shared content are subject to the workspace’s administrative controls, permissions, and settings.
Depending on the plan and available features, workspace administrators may also view usage information associated with the workspace and its members.
By making content available in a shared workspace, you authorize Ideatura to provide that access and grant the users with access a non-exclusive license to use the content through the Service as permitted by the applicable sharing features, permissions, and these Terms. You are responsible for choosing what content you share and ensuring that you have the rights and permissions to make it available to those users.
Joining a shared workspace does not, by itself, give its administrators or members access to your personal workspace or any other workspace. It does not automatically copy or move content from those workspaces into the shared workspace.
If the Service allows you to copy, move, or share content between workspaces and you choose to do so, that content becomes available in the destination workspace according to its permissions and settings, including to its administrators and other members with access. The same authorization and sharing license apply to the content you make available there.
4.13 Restricted Data
You must not upload, submit, or otherwise make available through the Service, including through connected applications, community posts, or support attachments:
- Technical data or software controlled under the US International Traffic in Arms Regulations (ITAR), or other technical data, software, or technology whose disclosure or processing through the Service requires an export license, reliance on an export-license exception, or restrictions on access based on nationality under applicable export-control law.
- Government-classified information, US Controlled Unclassified Information (CUI), or information subject to equivalent government-mandated safeguarding restrictions in other jurisdictions.
- Medical records, health information about individuals, or other special-category personal data under Article 9 GDPR, including genetic data, biometric data used to identify a person, and information about racial or ethnic origin, political opinions, religious beliefs, trade-union membership, sex life, or sexual orientation.
- Personal data relating to criminal convictions or offenses; Social Security, national identity, passport, driver’s license, or comparable personal identity numbers; or copies of personal identity documents. Public professional registration or license numbers, including those on an architect’s or engineer’s seal, are not prohibited solely because they are issued by a government authority.
- Payment-card details, card security codes, bank-account credentials, or other sensitive financial information that enables access to an account or authorizes a payment.
Ordinary commercial drawings and other materials are not prohibited solely because they are subject to the US Export Administration Regulations (EAR), including an EAR99 classification, provided their disclosure and processing through the Service do not fall within the restrictions above. Applicable sanctions and prohibited end-user and end-use restrictions continue to apply.
These restrictions apply even if you have permission to disclose the information. They do not prevent you from entering payment information in our designated payment provider’s checkout or billing flow, or providing ordinary billing-contact, invoice, and transaction information needed to administer your subscription. Accidental submission does not remove our applicable confidentiality and data-protection obligations.
5. Community Features
5.1 Community Definitions
“Community Features” means the community forums, chats, mailing lists, discussion groups, and other spaces for sharing content and communicating with others that Ideatura provides or operates, whether on its own sites or third-party platforms. These include our forum at https://community.ideatura.ai.
Community Features do not include private support channels or other channels we set up to work with a specific customer, even if they run on the same third-party platforms. Content in those channels is not Community Content.
“Community Content” means messages, comments, images, screenshots, audio, video, drawings, models, code, files, links, and other materials you choose to post or make available through Community Features.
Service Input, Service Output, and materials in a personal or shared workspace do not become Community Content merely because you use the Service or share them within that workspace. This section 5 applies when you choose to publish or share those materials through Community Features.
5.2 Community Content
As between you and Ideatura, you retain any ownership rights you have in your Community Content. You are responsible for the content you post and for ensuring that you have the right to make it available to the general public or, for private messages and private chats between users, to the intended recipients.
You represent and warrant that you have all rights, licenses, permissions, and consents necessary to post your Community Content and grant the licenses in this section 5, including any necessary permissions for copyrighted works, images, audio, video, and personal information relating to others. Your Community Content must not violate applicable law or another person’s intellectual property, privacy, publicity, confidentiality, or other rights.
5.3 Community License
By posting Community Content, you grant Ideatura a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, host, store, reproduce, display, perform, distribute, modify, adapt, and otherwise process that content, and to prepare derivative works from it, to provide, operate, maintain, and moderate the Community Features. This includes formatting, resizing, transcoding, and generating previews for display.
We may use automated tools, including AI, to analyze and classify Community Content; generate summaries and translations; support search and content recommendations; and detect spam, abuse, or other violations of these Terms. We may carry out these activities and exercise the rights granted above through service providers acting on our behalf.
Except for private messages and private chats between users, this license also permits us to use all or part of your Community Content, including excerpts and adaptations, to promote Ideatura, the Service, and the community. This may include publication and distribution on our websites, in social media, newsletters, presentations, and other promotional materials, and through third-party media and distribution channels. We may authorize media and promotional partners to use that content for these purposes.
This license applies while the content is available through Community Features and, after removal, as necessary to process its removal, maintain restricted backup or legally required records, and retain portions incorporated into other users’ existing replies or discussions to the extent they cannot reasonably be separated. Removing content does not require us to recall or withdraw promotional materials already published or distributed; the license continues for those existing materials. This license does not grant us ownership of your Community Content.
Use of personal data in Community Content remains subject to the Privacy Policy and applicable law. This license does not replace any required consent or other lawful basis, or override applicable objections, deletion rights or restrictions on retaining existing promotional materials.
5.4 Public Access
Private messages and private chats between users are not made public or used for promotion under section 5, including through changes to visibility or access under section 5.8. They remain subject to the Community Rules and moderation, including review when a message is reported. The public-access permissions and confidentiality disclaimer in the paragraphs below apply only to other Community Content.
You grant other community users and visitors, including members of the general public who do not have an Ideatura account, a non-exclusive license to access your Community Content through the Community Features and use the sharing, copying, or downloading functions available for that content, subject to these Terms. This does not grant them ownership or a general right to exploit your content outside those permissions.
By posting Community Content, you authorize us to make it available to the general public, including people who do not use the Service or belong to the community. A Community Feature may initially be available only to a limited group, but we may later open access to that feature and the content posted there under these Terms. A login, invitation requirement, or other current access limitation does not guarantee that Community Content will remain private.
Community Content may be accessed, crawled, or indexed by search engines, web crawlers, AI agents, and other automated tools, including bots used by large language model (LLM) services. It may appear in search results, AI-generated responses or summaries, previews, links, and third-party websites or media.
We do not promise confidentiality for Community Content. You should not post confidential client or project materials unless you are authorized to disclose them publicly.
Other users, visitors, and third-party services, including search engines and AI services, may retain downloaded, shared, or cached copies of Community Content. Removing a post or changing its visibility does not necessarily remove those copies, and we cannot guarantee their deletion.
5.5 Community Rules
You may not post, upload, link to, or otherwise make available Community Content that:
(a) infringes or misappropriates another person’s copyright, trademark, patent, trade secret, or other intellectual property or proprietary rights, or includes materials you do not have the right to share, such as drawings, models, designs, code, photographs, recordings, or videos;
(b) discloses confidential client or project information, proprietary materials, regulated data, or export-controlled information in violation of applicable law or your contractual, professional, confidentiality, or fiduciary duties;
(c) violates another person’s privacy, publicity, or data-protection rights, including by exposing personal contact details, identification numbers, financial information, account credentials, private communications, images, or recordings without the necessary consent or other lawful authority;
(d) contains defamatory claims, knowingly false statements, fabricated evidence, fraudulent offers, or other deceptive material;
(e) threatens, abuses, intimidates, stalks, or harasses others; promotes violence or hatred; or advocates discrimination based on race, ethnicity, nationality, religion, sex, gender, sexual orientation, age, disability, or another legally protected characteristic;
(f) is obscene, pornographic, sexually exploitative, or otherwise unlawful, exploits or endangers minors, or encourages self-harm or harm to others;
(g) solicits or facilitates unlawful conduct, or provides instructions intended to enable harmful devices, unlawful surveillance, or other activities likely to cause death, injury, or serious property or environmental damage; or
(h) contains malware, malicious scripts, corrupted files intended to cause disruption, phishing links, hidden instructions, prompt-injection attacks, or other material designed to compromise accounts, devices, AI tools, the Service, or another system.
When participating in Community Features, you also may not:
(i) impersonate another person or organization, falsely claim to represent Ideatura, misstate an affiliation or professional qualification, or present material as professionally reviewed or approved when it has not been;
(j) send spam, repetitive unsolicited messages, unauthorized advertisements, commercial solicitations, or unsolicited political campaigning, or use the community to conduct scams or deceptive promotions;
(k) alter or delete another person’s content without authorization, or remove or obscure attribution, copyright or license notices, safety warnings, watermarks, or other rights or usage information unless permitted by the relevant rights holder or applicable law;
(l) flood discussions, organize targeted harassment, manipulate ratings or engagement through deceptive accounts or automation, or otherwise disrupt discussions or materially interfere with others’ participation;
(m) evade a suspension or moderation restriction, bypass access or security controls, obtain private community materials without authorization, or use automated tools to overload or compromise Community Features; or
(n) encourage, organize, or help others carry out prohibited conduct, or otherwise use Community Features in breach of applicable law or obligations binding on you.
5.6 Content Responsibility
You are solely responsible for the Community Content you submit, publish, or share and for violations of third-party rights or other harm caused by your breach of these Terms. Content supplied by another participant remains that participant’s responsibility.
Before posting or reusing Community Content, you are responsible for checking that you have the rights and permissions required for your intended use. Ideatura does not undertake to establish the ownership or licensing status of each item or to identify every work protected by copyright, trademark, patent, or other rights. The absence of a rights notice, trademark symbol, attribution, warning, or other label does not mean that material is unprotected or free to use.
We do not endorse Community Content supplied by users or represent or warrant that it is accurate, complete, lawful, non-infringing, safe, or suitable for any particular purpose. Displaying a user’s statement, recommendation, or advice does not make it a statement, recommendation, or advice of Ideatura. You may encounter misleading, offensive, unlawful, or otherwise objectionable material, and you are responsible for evaluating it before relying on it or using it in your work.
To the extent permitted by applicable law, neither Ideatura nor its affiliates, licensors, or service providers is liable for loss or damage arising from Community Content supplied by users, including errors or omissions, infringement of third-party rights, unauthorized disclosures, or your access to, use of, distribution of, or reliance on that content.
5.7 Moderation and Reporting
We reserve the right to review, refuse to publish, restrict access to, or remove Community Content, and to limit or suspend access to Community Features, to enforce these Terms, comply with law, protect users or the Service, or address content or conduct that is unlawful, harmful, disruptive, or otherwise objectionable. We do not undertake to review every post before publication. Where required by applicable law, we will provide notice, reasons, and an opportunity to challenge a moderation decision.
You may report Community Content that you believe violates these Terms or your rights by contacting team@ideatura.ai and identifying the relevant content and the basis for your concern. You can also flag a post in the forum, including as illegal content. When we become aware of illegal content, we review it and remove it or disable access to it promptly. If we remove your content or restrict your account, you can ask us to review that decision by replying to our notice or writing to team@ideatura.ai. The same address is our point of contact for users and for authorities; we accept communications in English. Copyright complaints are addressed in section 19 (Copyright Complaints).
5.8 Availability and Limits
Community Features are provided on an “as available” basis. We do not represent or warrant that Community Features will be available, continuously accessible, or maintained for any particular period. A subscription to the Service does not guarantee the continued availability of any particular Community Feature.
We may introduce, modify, limit, suspend, or discontinue Community Features, in whole or in part, temporarily or permanently. This includes changing their functionality, participation requirements, access conditions, visibility, and the audience able to view Community Content.
Community Features may have file-size, format, storage, posting-frequency, or other usage limits. You are responsible for complying with the limits applicable to the features you use.
6. Artificial Intelligence
6.1 AI Technology
“AI Technology” means artificial intelligence and machine learning technologies, including generative AI, large language models, diffusion models, computer vision models, classification and regression models, neural networks, statistical learning algorithms, and related tools and systems used by or through the Service.
The Service uses AI Technology, including technologies supplied by third-party providers, to process and analyze Service Input, generate Service Output, make classifications or predictions, and perform actions in connected applications. These activities may involve text, images, screenshots, audio, video, computer code, numerical or structured data, geometry, drawings, CAD or BIM models, and other data or content.
6.2 AI Capabilities
The Service uses AI Technology to assist with design and related work. Depending on the features, integrations, and access permissions in use, it may search for, open, read, extract information from, analyze, and process files and other project materials that you upload, attach, store in a workspace, or otherwise make available to the Service. These materials may include CAD and BIM models (including IFC files), drawings (including DWG, DXF, and PDF files), other documents, images, screenshots, code, and related project data.
The Service may also inspect and interact with connected applications such as Revit, AutoCAD, Rhino, and Blender through our software, plugins, and integrations. Within those applications, it may execute code and scripts, invoke tools and commands, and query, create, or modify models, model elements, geometry, properties, parameters, views, sheets, schedules, annotations, and other content. It may also inspect selected objects and linked models or documents, and capture screenshots or rendered views. Available context may extend beyond an individual file explicitly attached to a chat and include other accessible workspace or project materials, information about open documents and application state, and document names, paths, and properties.
The Service may generate and execute code and scripts, invoke tools and application commands, perform calculations and file conversions, create or modify models and geometry, update properties, parameters, or annotations, and create, edit, export, or save files and other project materials. These actions may occur within the Service or directly in connected applications, including changes to existing models and files.
6.3 AI Limitations
By using the Service, you acknowledge and agree that AI Technology has inherent limitations and that Service Output may contain fabricated information, omit relevant context, rely on incorrect assumptions, or include defective code, scripts, calculations, or geometry. Results that appear correct may fail when executed or applied to actual projects, materials, or conditions. We do not represent or warrant that Service Output will be accurate, complete, reliable, secure, safe, functional, fit for any particular purpose, or compliant with applicable laws, regulations, codes, or professional standards.
Ideatura does not provide architectural, engineering, structural design, surveying, construction, fabrication, manufacturing, permitting, code-compliance, safety consulting, legal, financial, medical, or other regulated professional services or advice through the Service or Service Output. Ideatura does not act as a licensed professional, and Service Output is not a substitute for independent professional judgment.
You are solely responsible for reviewing Service Output before using or relying on it. If you use Service Output for design, construction, fabrication, manufacturing, procurement, permitting, regulated submissions, professional advice, safety decisions, or high-risk uses (including uses where an error could cause death, personal injury, or significant property or environmental damage), you must not rely on it as the sole basis for your decisions or actions and must first ensure independent review, testing, simulation where appropriate, validation, and verification of Service Output and its downstream effects.
As part of the independent review of Service Output, you must verify that the output and its intended use comply with applicable laws, regulations, standards, codes, project requirements, professional obligations, and contractual duties. You must check all technical and safety requirements relevant to Service Output and its intended use, including, as applicable, dimensions, tolerances, calculations, loads, material properties, structural behavior, safety factors, and fabrication constraints. You must inspect, test, and validate Service Output, including any code, scripts, files, geometry, model changes, and other materials or actions generated or performed by the Service, and assess their effects on the project, connected applications, and other affected systems. You must obtain any required professional sign-off or approval of the final work by suitably qualified personnel before submission or implementation.
You are responsible for informing your clients, contractors, manufacturers, and other recipients or users of relevant limitations of AI-generated work. The absence of a warning, error message, label, or acknowledgment does not mean that Service Output has been reviewed, validated, approved, or found safe or suitable for use.
6.4 Action Risks
By using AI features that perform actions, you acknowledge and agree that those actions may not operate as intended and that a preview, confirmation before execution, human review, or an undo function may not be available for every action.
When executing code, invoking tools, or interacting with files, models, or connected applications, the Service may misinterpret your instructions or application context, make unintended changes, overwrite, corrupt, or delete data, or disrupt applications and workflows. These effects may extend to linked or dependent project materials and may not be fully reversible.
Before enabling AI actions, you are responsible for considering their scope and maintaining suitable project backups. You are responsible for reviewing changes made by AI actions before using or relying on the affected files, models, or applications.
7. Third-Party Services
7.1 Service Providers
We may engage infrastructure, hosting, analytics, security, payment, support, model, and other service providers to provide, operate, maintain, support, develop, improve, and protect the Service. These providers may receive, store, transmit, and otherwise process Service Input, Service Output, associated metadata, and other information necessary to perform their respective functions on our behalf, in accordance with these Terms and our Privacy Policy. The information made available to a provider depends on the function it performs and is limited to what is necessary for that function.
Our authorization of these providers to process your content remains subject to the purposes and limitations of the processing license you grant us. Engaging a provider does not transfer ownership of your Service Input or Service Output or relieve us of our obligations under these Terms.
7.2 LLM Providers
The Service may send Service Input, Service Output, and associated information to third-party model providers to process requests and generate responses. We will contractually require or configure third-party LLM providers we use to process data on our behalf not to use the data we send them, including Service Input and Service Output, to train or fine-tune their own models.
These providers may process and retain data as necessary to perform inference, maintain security, prevent abuse, diagnose technical issues, comply with legal obligations, and support operational reliability, subject to their agreements with us. Such processing and retention do not permit them to use that data to train or fine-tune their own models.
7.3 External Services
The Service may contain links to, or connect, integrate, or interoperate with, third-party websites, applications, software, APIs, plugins, and other services (“Third-Party Services”). Your use of Third-Party Services is subject to their applicable terms, licenses, and privacy policies. You are responsible for complying with those terms and obtaining and maintaining any required rights, licenses, access permissions, and subscriptions, including paying associated fees.
We do not control independently operated Third-Party Services or their content, availability, operation, or handling of information. Providing a link or integration does not imply that we endorse the Third-Party Service, its operator, or its content. Features that depend on Third-Party Services may change, become unavailable, or stop functioning if those services or access to them change or are discontinued.
When you choose to connect a Third-Party Service, you authorize us to transmit Service Input, Service Output, and associated information and to perform actions through that connection as needed to carry out your requests and use the features you enable. You are responsible for having the rights and permissions necessary for that connection and disclosure. A Third-Party Service you independently select does not become a provider acting on our behalf merely because you connect it to the Service.
8. Use Restrictions
8.1 Prohibited Uses
You may not use the Service, including its software, AI Technology, or Service Output, or permit or assist another person to use them, to:
(a) violate applicable law or another person’s intellectual-property, privacy, publicity, confidentiality, or other rights; commit fraud or impersonation; distribute unlawful, infringing, defamatory, abusive, or harassing material; send unsolicited or unauthorized advertising or spam; or falsely claim professional qualifications or approval;
(b) design, develop, or facilitate weapons, harmful devices, unlawful surveillance, or other systems intended to cause physical harm, or provide instructions intended to facilitate violence or other unlawful harm;
(c) introduce viruses, malware, malicious code, prompt-injection attacks, or hidden instructions intended to compromise the Service, its AI Technology, another user, or another system;
(d) gain or attempt to gain unauthorized access to accounts, data, systems, or networks; probe or test security without authorization; or interfere with, overload, disable, or disrupt the integrity, security, availability, or performance of the Service or other users’ access;
(e) bypass or defeat authentication, access permissions, safety controls, rate limits, usage limits, plan restrictions, billing controls, or other technical protections;
(f) reverse engineer, decompile, disassemble, or otherwise attempt to discover or extract the Service’s underlying source code, algorithms, model weights, non-public system prompts, security mechanisms, or other non-public technology or functionality, or copy, modify, translate, or create derivative works of our proprietary software except as expressly permitted by these Terms;
(g) scrape, crawl, harvest, or otherwise collect or copy data or content from the Service through automated means without authorization, except through features or interfaces made available for that purpose; or
(h) remove, alter, or obscure copyright notices, attribution, license notices, proprietary markings, safety notices, or watermarks in the Service or materials obtained through it, unless permitted by applicable law or the relevant rights holder.
The restrictions on reverse engineering and related activities do not apply to the extent applicable law expressly permits those activities despite the restriction. These Terms do not limit rights granted under applicable licenses for third-party or open-source components.
8.2 Competing Products
You may not access or use the Service to develop or provide a product or service that competes with the Service, or copy its features, functions, interfaces, or graphics for competitive purposes.
You may not use the Service, Service Output, or other content, data, or materials obtained from the Service to train, fine-tune, distill, or otherwise develop or improve AI or machine learning models that compete with the Service or are used to provide a competing product or service.
These restrictions apply except to the extent applicable law expressly permits the activity despite the restriction.
8.3 Trade Restrictions
You must comply with all applicable export-control, import-control, trade-restriction, and economic sanctions laws and regulations, including those of the United States where applicable. You may not access, use, export, re-export, transfer, or provide access to the Service, its software or technology, Service Input, or Service Output in violation of those laws, including for prohibited end uses or prohibited end users.
You represent and warrant that you are not named on any applicable denied-party or restricted-party list that prohibits your receipt or use of the Service, and are not otherwise subject to sanctions that prohibit us from providing the Service to you. You further represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in a country or territory where applicable embargoes or sanctions prohibit providing the Service to you, and that you are not accessing or using the Service on behalf of a person or entity prohibited from receiving it.
You are responsible for obtaining any licenses or authorizations required for your use, export, re-export, or transfer of the Service, its software or technology, Service Input, or Service Output. You may not permit your personnel, representatives, or other authorized users to access or use the Service in violation of these laws.
8.4 Enforcement
We reserve the right to investigate suspected violations and, in accordance with section 12, to suspend, restrict, or terminate access to the Service if we reasonably believe that you have violated these use or trade restrictions, or that your use creates a threat to the security, integrity, availability, or lawful operation of the Service or to other users.
9. Payments and Subscriptions
9.1 Ideatura Credits
The Service may offer virtual usage units called “Ideatura Credits” (“Credits”) to access AI features and other designated functionality within the Service. Credits may be included in a subscription, acquired through a separate purchase, or issued under a promotional offer. Credit consumption depends on the processing performed, including the models used, the amount of data processed, tool calls, and the number and complexity of execution steps. These may vary as AI Technology determines how to carry out a request, so the exact number of Credits required may not be known in advance.
If your available Credits, whether included in your subscription, purchased separately, or issued under a promotion, are exhausted or insufficient for an operation, features that require Credits may become unavailable, and requests or tasks may be declined, paused, or stopped until sufficient Credits are available. An active subscription does not by itself provide unlimited access to features that consume Credits.
Credits are provided under a limited, revocable, non-exclusive, non-transferable license to use the designated functionality in accordance with these Terms. Purchasing Credits grants that usage entitlement rather than ownership of the Credits as an asset. Credits are not money, legal tender, currency, or stored value and have no monetary value outside the Service.
Credits may be used only within the Service. You may not sell, resell, trade, gift, exchange, or transfer Credits to another user or account, or redeem them for cash or a cash equivalent, except for refunds under section 9.7.
Refunds for credit purchases are governed by section 9.7. Credits do not expire unless an expiration date or period is specified when they are issued or in the applicable subscription or promotional terms. Any billing-period limits or rollover conditions are governed by those disclosed terms.
We reserve the right to change, suspend, restrict, or discontinue the availability of Credits, the features they can be used for, and the rules governing their use. We may make these changes with or without advance notice, except where notice is required by applicable law or an express commitment to you. Changes remain subject to the terms of existing paid commitments and do not retroactively alter completed purchases or usage.
When your account or subscription expires or is terminated, unused Credits associated with it are forfeited without compensation unless the applicable purchase terms provide for continued use or a refund is due under section 9.7. Canceling renewal alone does not end the billing period already paid for or immediately forfeit Credits still available for that period.
9.2 Subscriptions
Some features of the Service require a paid subscription. A subscription may include an allowance of Credits as specified in the applicable plan. Separately purchased Credits may supplement that allowance, but do not replace a subscription or grant access to features that require one. You must maintain an active paid subscription to use Credits, including separately purchased Credits, for those features.
Available plans, features, included Credits, usage allowances, limits, billing periods, and prices are described on our pricing page, in the Service, or during purchase. By purchasing a subscription or Credits, you agree to pay all fees and taxes disclosed for that purchase. Subscription fees, including applicable taxes and other disclosed charges, are payable at the beginning of the applicable billing period and on each renewal thereafter, unless you cancel in accordance with these Terms or different payment terms are expressly agreed. Your purchase confirmation identifies the applicable plan, billing period, price, currency, included Credits, and any additional purchase-specific terms.
Your subscription automatically renews for successive billing periods of the duration disclosed when you subscribe, unless you cancel before the next renewal or the subscription is terminated. By enrolling in a recurring subscription, you authorize these recurring charges without a separate authorization for each billing period, subject to any additional consent required by applicable law. We will provide renewal notices where required.
You may cancel subscription renewal through the billing controls made available in your account. Cancellation before the next renewal stops future subscription charges. Unless your subscription ends earlier under these Terms, you retain access to the paid features until the end of the billing period already paid for.
Cancellation does not by itself release you from charges already incurred. Refunds are governed by section 9.7. If you request closure of the account or workspace associated with a subscription, we will also stop its future renewals.
9.3 Payment Terms
All prices are stated in US dollars, and all payments must be made in US dollars. Ideatura is not responsible for exchange rates applied or transaction, currency-conversion, or other fees charged by your bank or chosen payment provider; you are responsible for those charges.
You are responsible for applicable sales, use, withholding, value-added (VAT), and other similar taxes arising from your purchases under these Terms, at the rates and in the manner required by applicable law. The amount payable, currency, and applicable taxes or their method of calculation will be disclosed before purchase.
To make a paid purchase, you must provide a current, valid payment method accepted by the Service. You authorize Ideatura and its payment processors to charge that method for the subscription, Credits, and other purchases you authorize. You are responsible for charges incurred through your account and for amounts properly due that we have not been able to collect.
Payments are handled by third-party payment processors. By submitting payment details, you authorize those processors to store and process the information needed to authorize and complete your transactions and administer recurring payments. Their applicable terms and privacy policies govern their processing of payment information.
You are responsible for keeping your billing address, contact information, and payment details current, including replacing an expired or invalid payment method. You may update payment details through the billing controls available in your account. Updating your payment method does not cancel your subscription; you authorize subsequent subscription charges to the updated method until you cancel renewal.
9.4 Trials and Offers
We may offer free trials, introductory prices, promotional Credits, or other special offers subject to the eligibility requirements and conditions disclosed with the offer. Those conditions will state the duration of the offer and any limits that apply. Eligibility for one offer does not entitle you to future or repeated offers.
A trial or promotional subscription converts to a paid subscription or renews at the regular price only on the terms disclosed and accepted when you enroll. You may cancel before that conversion or renewal to avoid the next charge.
9.5 Plans and Pricing
We may change the plans we offer, their fees, included allowances, and credit-consumption rules. Changes to the price of an existing recurring subscription will take effect for a future billing period after notice stating the new price, when it takes effect, and how to cancel before it applies. We will give any advance notice and obtain any consent required by applicable law.
Price changes do not apply retroactively to completed purchases or billing periods already paid for. Changes affecting an ongoing paid commitment remain subject to the terms of that commitment and applicable law.
9.6 Failed Payments
A payment may fail because a payment method has expired, funds are insufficient, or the payment provider declines the transaction. If a payment is declined, overdue, or reversed, we may request an updated payment method and retry collection of the amount due through our payment processor. A failed payment does not by itself cancel your subscription or discharge an outstanding payment obligation.
We may suspend or restrict paid features until payment is resolved, after any notice required by applicable law. We may also investigate suspected payment fraud, chargebacks, and billing disputes. You remain responsible for amounts properly due; a good-faith billing complaint does not, by itself, establish that you owe the disputed amount.
9.7 Refunds
Subject to section 9.8, subscription fees and credit purchases are non-refundable except as expressly stated in an offer you accept or otherwise provided in these Terms. Canceling a subscription does not by itself entitle you to a refund for a partially used billing period or unused Credits.
If, for our convenience and not because of your breach, we terminate these Terms, discontinue a paid Service, or discontinue your access to a paid Service, including under section 12.2, or if you validly terminate for our unresolved material breach, we will refund the prepaid fees for the unused remainder of the affected paid Service’s term and the unused separately purchased Credits attributable to that Service. Termination or account closure does not release you from charges already incurred.
For this section, a “paid Service” means the subscription or separately purchased service identified in the applicable purchase terms, rather than each individual feature, model or integration included in it. Changes to individual features, models or integrations under section 3.5 do not, by themselves, constitute discontinuation of a paid Service. This does not limit refunds for our unresolved material breach or rights preserved by section 9.8.
9.8 Payment Rights
Nothing in this section 9 excludes or limits any cancellation, withdrawal, refund, or other rights that cannot lawfully be excluded or limited.
10. Confidentiality
“Confidential Information” means nonpublic information disclosed in connection with the Service that is identified as confidential or should reasonably be understood to be confidential. The Service may contain information that Ideatura designates as confidential.
Each party will protect the other’s Confidential Information using reasonable care and use it only as permitted under these Terms. Disclosure requires the other party’s permission, except to employees, contractors, and service providers who need access for the purposes permitted under these Terms and are bound by confidentiality obligations no less protective than those in this section.
You must not provide confidential client files, trade secrets, or other third-party confidential information unless you have all rights and permissions required for the uses authorized by these Terms. Confidentiality does not prevent our processing of Usage Data and Interaction Data to prepare Research Data, or our use of Research Data, as expressly permitted by these Terms and subject to their limitations and safeguards.
These obligations do not apply to information the receiving party can show was already lawfully known without restriction, became public without a breach of confidentiality, was lawfully received from a third party without restriction, or was independently developed without using the Confidential Information.
Disclosure required by law or court order is permitted, limited to what is required and with advance notice to the other party where legally permitted so it may seek protection. Confidentiality obligations survive termination for as long as the information remains confidential.
11. Privacy
Our Privacy Policy explains how we handle personal data in connection with the Service, including our use of cookies and similar technologies. Where we process personal data on your behalf, our applicable Data Processing Agreement governs that processing.
By agreeing to these Terms, you acknowledge that you have reviewed the Privacy Policy and, where applicable, the DPA, and understand how those documents apply to your use of the Service.
12. Suspension and Termination
12.1 Suspension
We may restrict affected access when reasonably necessary to address a security threat, unlawful use, material nonpayment, or a serious breach. We will use a proportionate restriction, explain it when lawful and practical, and restore access when the issue is resolved. We may act immediately if waiting would create a material risk or violate law.
Suspension or restriction of paid features due to a declined, overdue, or reversed payment is separately governed by section 9.6.
12.2 Termination
Either party may terminate these Terms by written notice if the other party materially breaches them and the breach cannot be remedied or remains unremedied for 15 days after that party receives written notice describing it.
We may also terminate these Terms or discontinue your access to the Service for any reason on at least 30 days’ written notice. Refunds are governed by section 9.7.
12.3 Effect of Termination
When these Terms or your access to the Service expire or are terminated, your license to access and use the affected Service ends, and you must stop using it. Your rights in your Service Input, Service Output, and other content remain as provided in these Terms. Termination does not affect either party’s rights or obligations accrued before it takes effect.
12.4 Data Access and Deletion
You are responsible for keeping independent copies of your files, content, and results. After termination or account closure, you may lose access to content stored in the Service, including conversation history, Service Input, and Service Output. Unless required by applicable law or a separate written agreement, we do not guarantee continued storage, access, export, or recovery after access ends.
We may delete retained content in accordance with these Terms, the Privacy Policy, and any applicable DPA. Termination does not mean that all retained records or backup copies are immediately erased, and any retained information remains subject to applicable confidentiality and data-protection obligations.
Where the DPA applies, your right to choose return or deletion of personal data we process on your behalf under section 11 of the DPA takes priority over the general access and storage limitations above.
12.5 Survival
Provisions intended by their nature to continue will survive expiration or termination, including ownership, continuing licenses, Feedback, confidentiality, accrued payment obligations, disclaimers, indemnity, limitations of liability, dispute resolution, and general terms. We may continue to use Research Data prepared before termination for the purposes and subject to the safeguards described in these Terms and applicable law.
13. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR A SEPARATE WRITTEN AGREEMENT WITH IDEATURA, THE SERVICE AND SERVICE OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDEATURA DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR SERVICE OUTPUT WILL MEET YOUR REQUIREMENTS OR BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
PRODUCT DESCRIPTIONS, EXAMPLES, DEMONSTRATIONS, DOCUMENTATION, BENCHMARKS, MARKETING MATERIALS, AND OTHER INFORMATION OR ADVICE WE PROVIDE ARE FOR GENERAL INFORMATION AND DO NOT CREATE ADDITIONAL WARRANTIES, PROFESSIONAL CERTIFICATIONS, OR GUARANTEES OF SAFETY, REGULATORY COMPLIANCE, OR SUITABILITY FOR DESIGN, CONSTRUCTION, OR MANUFACTURING, EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR A SEPARATE WRITTEN AGREEMENT WITH IDEATURA.
THESE DISCLAIMERS DO NOT OVERRIDE OUR EXPRESS CONFIDENTIALITY, SECURITY, OR DATA-PROCESSING OBLIGATIONS AND ARE SUBJECT TO SECTION 17.6.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER YOU NOR IDEATURA WILL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, ANTICIPATED SAVINGS, OR LOSS OR CORRUPTION OF DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED THAT SUCH LOSSES WERE POSSIBLE.
EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF US$100 AND THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
THE EXCLUSIONS AND LIMITATIONS ABOVE DO NOT APPLY TO YOUR INDEMNIFICATION OBLIGATIONS OR EITHER PARTY’S INFRINGEMENT OR MISAPPROPRIATION OF THE OTHER PARTY’S INTELLECTUAL PROPERTY RIGHTS. THE LIABILITY CAP DOES NOT LIMIT YOUR PAYMENT OBLIGATIONS.
FOR FRAUD, FRAUDULENT MISREPRESENTATION, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, THE EXCLUSIONS AND LIMITATIONS ABOVE APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.
THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION ARE SUBJECT TO SECTION 17.6 AND DO NOT RESTRICT DATA-SUBJECT RIGHTS OR MANDATORY DATA-TRANSFER CLAUSES.
15. Indemnity
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Ideatura, its affiliates, and their respective directors, officers, employees, agents, licensors, service providers, and model providers (the “Indemnified Parties”) from and against third-party claims, demands, and proceedings, and all resulting liabilities, losses, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your use of the Service, including Service Input you submit, Service Output you generate, use, distribute, or rely on, and Community Content you post; (b) your use of the Service or Service Output in designs, models, drawings, calculations, deliverables, fabrication, manufacturing, construction, permitting, procurement, or professional services, including any high-risk use described in section 6.3; (c) claims by your clients, contractors, manufacturers, regulators, or other recipients of your work arising from your use of the Service or Service Output; (d) your breach of these Terms or applicable law; (e) allegations that your content or use of the Service infringes or otherwise violates another person’s intellectual property, privacy, confidentiality, or other rights; or (f) your use of Third-Party Services or third-party models in connection with the Service in violation of the applicable provider’s terms. This indemnity does not apply to the extent a claim is finally determined to have been caused by Ideatura’s willful misconduct.
We will notify you of a claim in writing and reasonably cooperate in its defense at your expense. You will control the defense and settlement unless we elect to assume control of the defense. Our assumption of the defense does not relieve you of your obligations under this section, and you agree to provide reasonable cooperation. You may not settle a claim in a way that imposes liability or obligations on an Indemnified Party without that party’s prior written consent.
16. Dispute Resolution
16.1 Informal Resolution
Before filing a claim relating to these Terms or the Service, you and Ideatura agree to notify the other party by email, describing the dispute and the relief sought, and attempt in good faith to resolve it informally for 30 days after receipt of the notice.
Notices to Ideatura must be sent to team@ideatura.ai, and notices to you must be sent to the email address associated with your account. Either party may seek urgent injunctive relief or file a claim to meet an applicable filing deadline without completing this process.
16.2 Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Except for disputes subject to arbitration below or where applicable law requires otherwise, you and Ideatura irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Delaware to resolve any such dispute or claim.
16.3 Arbitration
To the extent permitted by applicable law, if you are located outside the United States, any dispute between you and Ideatura arising out of or relating to these Terms or the Service must be resolved exclusively by binding arbitration in Delaware, United States, in English, under the International Arbitration Rules of the International Centre for Dispute Resolution (ICDR) in effect when the arbitration begins. Judgment on the award may be entered in any court of competent jurisdiction.
16.4 Injunctive Relief
A breach of these Terms may cause harm that cannot be adequately compensated by monetary damages. Regardless of the court and arbitration provisions above, either party may seek a court order (injunctive relief) from any court of competent jurisdiction to prevent or stop such a breach.
16.5 Prevailing-Party Fees
To the extent permitted by applicable law, the prevailing party in any litigation or arbitration arising out of or relating to these Terms or the Service is entitled to recover its reasonable attorneys’ fees and costs from the other party. Fees and costs awarded under this section are not subject to the limitations in section 14.
16.6 Court Access
The choice of Delaware law and the dispute resolution provisions above do not exclude or limit any mandatory protections or rights to bring claims before a competent court that cannot lawfully be excluded or limited.
16.7 Claim Deadline
You agree that, to the extent permitted by applicable law, any claim you bring arising out of or relating to these Terms or the Service must be filed within one year after the claim accrues, or it will be permanently barred.
17. General Terms
17.1 Entire Agreement
These Terms, incorporated documents, and applicable purchase terms and separate written agreements constitute the entire agreement regarding the Service, superseding prior or contemporaneous oral or written agreements and understandings.
17.2 Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
17.3 No Waiver
Our failure or delay in enforcing any provision or exercising any right is not a waiver. Any waiver by Ideatura must be in writing and signed by us and applies only to the specific instance for which it is given.
17.4 Assignment
You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. Any attempted assignment or transfer without that consent is void.
Ideatura may assign or transfer these Terms and its rights and obligations to another organization. This will not affect your rights or the obligations owed to you under these Terms.
In connection with a merger or sale of all or part of our business or its assets, we may transfer Research Data, datasets derived from it, and the licenses granted under sections 4.10 and 4.11 to a successor that continues the relevant business and assumes the corresponding obligations under these Terms. The same permitted uses, restrictions, choices, and safeguards continue to apply.
17.5 Independent Parties
You and Ideatura are independent contractors. These Terms do not create an agency, partnership, joint venture, or employment relationship.
17.6 Mandatory Rights
Nothing in these Terms excludes, restricts, or modifies any right, warranty, guarantee, remedy, obligation, or liability to the extent it cannot lawfully be excluded, restricted, or modified under applicable law. This applies throughout these Terms and takes priority over any conflicting provision.
17.7 Notices
Written notices under these Terms may be given by email, including notices of breach, termination, or a dispute. Unless these Terms specify another address or applicable law requires another method, email notices to Ideatura must be sent to team@ideatura.ai, and email notices to you must be sent to the email address associated with your account.
18. Intellectual Property
18.1 Service Ownership
Ideatura and its licensors are the sole owners of the Service, including its software, technology, documentation, and all associated intellectual property rights. We reserve all rights not expressly granted in these Terms.
18.2 Trademarks
The Ideatura name, logos, trademarks, service marks, and proprietary graphics belong to Ideatura or its licensors and are protected by applicable intellectual property laws. These Terms do not grant permission to use our trademarks, service marks, or logos without our prior written consent. Other marks belong to their respective owners.
19. Copyright Complaints
19.1 DMCA Procedure
Ideatura respects copyright and responds to infringement notices concerning the Service, including Community Features, under the Digital Millennium Copyright Act (17 U.S.C. § 512).
Knowingly making material misrepresentations in a notice or counter-notice may result in liability for damages, costs, and attorneys’ fees under 17 U.S.C. § 512(f). We will terminate repeat copyright infringers’ accounts in appropriate circumstances and may otherwise remove infringing material or restrict access under these Terms.
Copyright owners or their authorized representatives may submit written notices by email or postal mail. Email is preferred, as postal delivery may delay receipt and processing of your notice.

19.2 Take-Down Notice
A notice must substantially include: (a) The copyright owner’s or authorized representative’s physical or electronic signature; (b) Identification of the copyrighted work, or a representative list if multiple works at a single online site are covered; (c) Identification of the allegedly infringing material to be removed or disabled, with sufficient information to locate it, such as specific URLs or file locations; (d) Your contact information, including name, address, telephone number, and email address, if available; (e) A statement of your good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) A statement that the notice is accurate and, under penalty of perjury, that you are authorized to act for the owner of the exclusive right allegedly infringed.
Consider applicable exceptions, including fair use, before submitting a notice. We may seek clarification or missing information and share your notice, including contact details, with the affected user. Upon receiving a substantially compliant notice, we will expeditiously remove or disable access to the material and take reasonable steps to notify the user promptly. Removal is not a determination of infringement.
19.3 Counter Notice
If you believe your material was removed or disabled by mistake or misidentification, you may send a written counter-notice to the same agent. It must substantially include: (a) Your physical or electronic signature; (b) Identification of the removed or disabled material and its previous location; (c) A statement under penalty of perjury of your good faith belief that removal or disabling resulted from mistake or misidentification; and (d) Your name, address, telephone number, and a statement consenting to the jurisdiction of the Federal District Court for the judicial district where your address is located, or, if outside the United States, any judicial district where Ideatura may be found, and accepting service of process from the original complainant or its agent.
Please also include your email address. We will promptly forward a substantially compliant counter-notice, including contact details, to the original complainant and notify them that we will restore access in 10 business days. We will restore the material or access within 10–14 business days after receiving the counter-notice unless our agent first receives notice that the complainant has filed an action seeking a court order restraining the user’s infringing activity relating to that material. Independently applicable restrictions under these Terms or law may still apply.
19.4 Other Complaints
Other complaints, including trademark, privacy, or confidentiality concerns, may be sent to team@ideatura.ai with enough detail to identify the material and explain the concern.
20. Changes
We may revise these Terms from time to time. We will publish the revised Terms with an updated date and specify when they take effect. We will use reasonable efforts to notify you of material changes through the Service or by email and will provide advance notice where required by law.
Changes apply prospectively. Your continued use of the Service after notice and the effective date constitutes acceptance of the revised Terms, except where express consent is required by law. If you disagree, you must stop using the Service.
